01Introduction and scope

Introduction and scope

1.1 These Terms and Conditions ("Terms") govern your purchase of tickets, packages and other products for, and your attendance at, any event produced or promoted by KALEIDOSCOPE.KE LLC ("Company," "we," "us," "our"). KALEIDOSCOPE.KE LLC is a limited liability company registered in Delaware, USA, at 8 The Green, Ste A, Dover, DE 19901. Our events are held in Kenya unless stated otherwise.

1.2 "Event" means any event we produce or promote under the Kaleidoscope brand, including the Kaleidoscope festival, KIASI, Dhow Rave, Hidden events, pre- and after-parties, and any future edition, side event or new format.

1.3 "Event Page" means the information shown for a specific Event on our website or at the point of sale, including its dates, venue, minimum age, ticket types, ticket limits, phone policy and any event-specific rules. The Event Page forms part of these Terms for that Event. If the Event Page conflicts with these Terms, the Event Page prevails for that Event.

1.4 These Terms apply to all purchases made on or after the effective date above. Purchases made before that date remain governed by the version of the Terms in force at the time of purchase, except that sections 7 (Photography and filming) and 8 (Intellectual property) of these Terms apply to the ongoing use of content and materials from any past Event to the extent permitted by the earlier version and by law.

1.5 By buying a ticket or attending an Event, you ("Ticket Holder," "you") agree to these Terms and to our Privacy Policy. If you buy for others, you confirm you are authorised to accept these Terms on their behalf.

1.6 Nothing in these Terms limits any rights you have under mandatory consumer protection law in your country of residence.

02Event details

Event details

2.1 Dates, times, venue and line-up for each Event are shown on its Event Page and may change. We will notify Ticket Holders of material changes by email. A change of artist, set time or stage is not a material change.

2.2 Minimum age. Each Event has a minimum age stated on its Event Page. Unless stated otherwise, Events are strictly 21+. Valid government-issued photo ID is required at entry. If you cannot prove you meet the minimum age, you will be refused entry without refund.

03Tickets, packages and payment

Tickets, packages and payment

3.1 Where to buy. Tickets are sold through our official website and authorised sellers named on the Event Page. Tickets bought elsewhere may be invalid and may be cancelled without refund.

3.2 Prices and payment. Prices are shown in the currency stated at the point of sale (e.g. KES, USD, EUR, GBP), including or plus any taxes and processing fees shown before you pay. Payment is processed by third-party payment providers.

3.3 Ticket limits. Limits per person or per order are set on the Event Page. Unless stated otherwise, the limit is ten (10) tickets per order. We may cancel orders that exceed a limit and refund the excess.

3.4 Confirmation. After purchase you will receive a confirmation email with your e-ticket(s). Please give a valid email address and check your spam folder. A contract is formed when we send that confirmation.

3.5 Accommodation and packages. Some tickets are sold as packages that include accommodation, transfers or experiences provided by partners, including Temple Point Resort Ltd. The package terms shown at purchase (check-in times, room allocation, house rules) form part of these Terms. The partner remains responsible for delivering its service. If an Event is cancelled, the package is treated as a whole under section 5.

3.6 On-site purchases. Food, drinks, merchandise, single-use cameras and any cashless or wristband top-ups are sold on site under the rules shown at the Event. Unused cashless credit is refunded only if the Event Page says so.

3.7 Right of withdrawal. Tickets for an event on a specific date are leisure services exempt from the 14-day right of withdrawal under EU and UK consumer law. All sales are final except as set out in section 5.

04Accounts

Accounts

4.1 You may create an account to manage tickets and view past Events. Keep your login details secure; you are responsible for activity on your account.

4.2 We may suspend or close an account used in breach of these Terms, for fraud, or for touting.

05Resale, transfers, refunds and cancellation

Resale, transfers, refunds and cancellation

5.1 Resale. Tickets may not be resold or offered for resale above their original face value. We may cancel any ticket resold or offered in breach of this rule, without refund.

5.2 Transfers. Tickets are non-transferable unless the Event Page or an official transfer tool allows it. Where a ticket is named, the name must match the ID shown at entry.

5.3 No refunds for change of plans. We do not refund tickets if you cannot attend, including for illness, travel disruption or personal circumstances, unless required by law.

5.4 Cancellation by us. If we cancel an Event for reasons within our reasonable control, you may choose either a refund of the ticket face value or a credit of equal value for a future Event. Processing fees are refunded only where required by law. We are not responsible for travel, accommodation or other costs you booked separately.

5.5 Postponement. If an Event is postponed, your ticket is valid for the new dates. If you cannot attend the new dates, tell us within 14 days of the announcement and we will offer a credit for a future Event.

5.6 Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including war, civil unrest, terrorism or its threat, fire, storm, flood, earthquake, epidemic, pandemic, government orders, failure of power or telecoms networks, or disruption of air, sea or road transport.

06Entry and conduct

Entry and conduct

6.1 Entry. To enter you must show a valid e-ticket or official wristband and original government-issued photo ID. Photocopies and digital images of ID may be refused. Re-entry rules are set on the Event Page.

6.2 Searches. You and your belongings may be searched on entry and during the Event. If you refuse, you may be denied entry or removed without refund.

6.3 Phone policy. Kaleidoscope Events are phone-free unless the Event Page says otherwise. Where an Event Page allows phones for certain guests (e.g. guests staying at the venue hotel), the phone must be sealed in a privacy pouch provided by our staff for the whole time you are in the Event area. Tampering with the pouch or using a phone in the Event area may result in removal without refund. We are not responsible for phones you choose to bring.

6.4 Prohibited items. Illegal substances; weapons of any kind (including knives and pepper spray); explosives, fireworks and flares; outside food and drink, including alcohol; professional audio or video equipment without our written permission; drones; and any item staff consider dangerous, offensive or disruptive. Prohibited items will be confiscated and may not be returned. Illegal items may be handed to the police.

6.5 Code of conduct. Treat people, artists, staff, the venue and its natural environment with respect. The following are prohibited: harassment of any kind, including on the basis of race, gender, sexual orientation, religion or disability; violence or threats; dangerous or disruptive behaviour; damaging property or art installations; disturbing wildlife or protected areas; and any breach of local law. Breach may lead to removal without refund, a ban from future Events and, where appropriate, referral to the police.

6.6 Health and safety. You attend at your own risk and are responsible for your own health, safety and hydration. Events involve loud music, strobe lighting, uneven or sandy ground, water nearby and crowds. First aid is available on site and is provided by third-party medical providers.

6.7 Accessibility. Our venues are coastal sites with terrain that may be difficult for some guests. Contact us before buying if you have access needs and we will tell you honestly what we can provide.

07Photography and filming

Photography and filming

7.1 Your photos. Where phones are not allowed, single-use cameras may be sold on site. Photos and videos you take are for personal, non-commercial use only.

7.2 Official photography. We and our authorised photographers and filmmakers record Events. By attending, you agree that we may photograph, film and record you and use those images, recordings and your likeness worldwide, without payment, for promoting and documenting Kaleidoscope, in any media. This applies to footage from any Event you have attended.

7.3 If you do not want to appear in our marketing, email info@kaleidoscope.wtf with a description or the image. We will stop using identifiable images of you in new marketing, as set out in our Privacy Policy. We cannot recall material already printed or published by third parties.

08Intellectual property

Intellectual property

The Kaleidoscope name, logos, the Chameleon characters, designs, artwork, website content and all Event materials are owned by or licensed to KALEIDOSCOPE.KE LLC. You may not use them without our prior written consent.

09Liability

Liability

9.1 Assumption of risk. Your attendance is voluntary. Subject to section 9.4, you accept the risks inherent in attending a large outdoor music event, including injury, illness and loss of or damage to belongings.

9.2 Limitation. To the fullest extent permitted by law, KALEIDOSCOPE.KE LLC, its members, officers, employees and agents, and our Event partners (including Temple Point Resort Ltd) are not liable for any indirect, incidental, special or consequential loss, or loss of profit, data or goodwill, arising from the Event or these Terms, including loss caused by other attendees or third parties. Our total liability to you for any claim is limited to the amount you paid for your ticket(s) and package for the Event concerned.

9.3 Belongings. We are not responsible for loss of or damage to personal belongings, including phones and valuables, except where caused by our negligence.

9.4 What we do not exclude. Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited or excluded by law.

9.5 Indemnity. You agree to compensate us and our Event partners for claims, losses and reasonable legal costs arising from your breach of these Terms or the law, or your negligent or wilful misconduct at an Event.

10Governing law and disputes

Governing law and disputes

10.1 These Terms are governed by the laws of Kenya.

10.2 If a dispute arises, we will first try to resolve it in good faith. If it is not resolved within 30 days, either party may refer it to mediation in Kenya. If mediation fails, the dispute will be settled by arbitration under the Arbitration Act of Kenya, seated in Nairobi, in English, by a sole arbitrator. The award is final and binding.

10.3 This section does not prevent either party from seeking urgent injunctive relief in court. If you are a consumer resident in the EU or UK, you may also bring proceedings in the courts of your country of residence, and you keep the protection of its mandatory consumer laws.

11General

General

11.1 Changes. We may update these Terms. Changes apply to purchases made after the new version is posted. For tickets already bought, we will only apply changes that are needed for legal, safety or operational reasons and do not materially reduce your rights, and we will notify you by email.

11.2 Severability. If any provision is found invalid or unenforceable, the rest remain in force.

11.3 Entire agreement. These Terms, the Event Page and the Privacy Policy form the entire agreement between you and us about your purchase and attendance.

11.4 No waiver. A delay in enforcing a right is not a waiver of it.

11.5 Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to an affiliate or a successor running the Event, provided your rights are not reduced.

11.6 Notices. Notices to us: info@kaleidoscope.wtf. Notices to you: the email address used for your purchase or account.

11.7 Language. These Terms are written in English. Any translation is for convenience only.
